The Agreement does not transfer from Us to you any of Ours or third party intellectual property, and all right, title, and interest in and to such property will remain solely with Digital Racers LLC and its licensors. This includes all SEO frameworks, PPC ad copy, creative assets, and proprietary analytical dashboards developed by us during the provision of services, unless otherwise specified in a separate written agreement.

Service Provision, Timelines & Payment

Our digital marketing services (including SEO, PPC, and Social Media) are provided based on a pre-agreed scope of work, timeline, and payment schedule outlined in a formal proposal or contract. Digital marketing timelines can fluctuate based on algorithm updates and platform approvals. Payments for retainer services (e.g., ad spend management, SEO retainers) are typically due at the beginning of each service period. Failure to make timely payments may result in an immediate pause of active campaigns and suspension of services.

Third-Party Services & Advertising Platforms

In using the Services, you may use third-party services, products, or applications ("Third-Party Services"), such as Google Ads, Meta Business Suite, or specialized analytics platforms.

If you use any Third Party Services, you understand that:

• Any use of a Third Party Service is at your own risk. We do not control platform-level algorithm changes or account bans.
• You acknowledge and agree that We shall not be responsible or liable for any damage or loss caused by advertising platforms suspending accounts or altering bid costs.

Accounts & Client Responsibilities

Where use of any part of our Services requires access to your accounts (e.g., Google Analytics, social media profiles), you agree to provide us with timely, secure, and accurate access. You will be solely responsible for maintaining the base security of your own accounts. You must notify us immediately of any unauthorized uses of your accounts.

Links To Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by Digital Racers LLC.

Digital Racers LLC assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. Digital Racers LLC shall also not be responsible or liable for any damage caused by reliance on such external links.

Termination

We may terminate or suspend your access to all or any part of our digital marketing Services at any time, with or without cause, effective immediately, particularly in cases of non-payment or breach of this Agreement.

If you wish to terminate the Agreement, you may discontinue using our Services, subject to any cancellation terms outlined in your specific digital marketing contract (typically requiring a 30-day notice period to wind down ad campaigns safely).

All provisions of the Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

Our Services are provided "AS IS." Digital Racers LLC hereby disclaims all warranties of any kind. We do not guarantee specific marketing or business results, as outcomes (e.g., cost-per-click, search engine rankings, conversion rates) are subject to factors beyond our direct control.

Jurisdiction and Applicable Law

Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws applicable to Digital Racers LLC.

Changes

Digital Racers LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. Your continued use of our Services after the new terms become effective will be subject to the new terms.
